Affiliate Terms & Conditions

Kavio Pte Ltd (Singapore), operating QueryOn — queryon.tech. Version 1.0 — 5 September 2026.

These Terms & Conditions (the "Terms") govern participation in the QueryOn Affiliate Programme (the "Programme") operated by Kavio Pte Ltd ("Kavio", "we", "us"), a company incorporated in Singapore, in respect of the QueryOn product available at queryon.tech. By enrolling in the Programme, accepting a referral code, or promoting QueryOn under the Programme, you (the "Partner") agree to these Terms.

1. Definitions

Referral Code — the unique code and referral link (queryon.tech/?ref=CODE) issued to the Partner. Codes are case-insensitive.

Referred Customer — a new QueryOn customer account whose sign-up was validly attributed to the Partner under clause 3 and recorded in our systems.

Net Revenue — subscription fees actually collected by Kavio from a Referred Customer, after deduction of the customer discount, refunds, credits and chargebacks, and excluding all taxes (GST/VAT/sales tax). Payment-provider fees are not deducted.

Paid Month — a calendar month in which at least one subscription invoice of the Referred Customer is successfully collected. Free-trial periods and months with no successful payment are not Paid Months.

Commission Terms — the commission rate and the number of eligible Paid Months recorded for the Partner in our Programme records — by default 20% for the first 12 Paid Months per Referred Customer, unless we agree different terms with you in writing.

Excluded Amounts — anything that is not subscription Net Revenue: AI-credit top-up purchases, one-time fees, taxes, unpaid or voided invoices, amounts from the free Starter tier, and amounts from self-referrals or fraudulent transactions.

2. Enrolment and Referral Codes

  • Enrolment is at our discretion. On acceptance we issue you one Referral Code and record your Commission Terms.
  • Codes and links are personal to you and may not be transferred, sold or sublicensed.
  • We may pause a code for suspected abuse while we investigate; a paused code does not attribute new customers and does not accrue new commission.

3. Referrals and Attribution

  • First valid referral wins. A customer account is permanently attributed to the first Partner validly recorded against it. Attribution is not changed afterwards except to correct a documented administrative error or a fraud finding.
  • Online attribution: a visit through your referral link is remembered for 60 days on the visitor's device, and your code may also be typed into the sign-up form. Attribution is recorded at account sign-up.
  • Sales-led introductions: for enterprise or hand-carried deals, you must register the lead with us in writing before making a substantive introduction. We will accept or reject a registered lead in writing within two business days.
  • One customer account (including its associated company or group) can be attributed to only one Partner. No double commission is paid.
  • Attribution technology depends on the visitor's browser and choices; we do not guarantee that every referral you initiate will be captured.

4. Customer Offer

Customers referred under the Programme receive 10% off their first three (3) Paid Months on the Essentials and Flagship plans, applied automatically at checkout. Multi-property and Enterprise plans are not discounted under the Programme. The offer cannot be combined with any other promotion, and we may amend or withdraw the customer offer for future sign-ups under clause 12.

5. Commission

  • You earn your recorded commission rate on Net Revenue actually collected from each Referred Customer, for up to your recorded number of Paid Months per Referred Customer (default: 20% for the first 12 Paid Months).
  • Commission accrues per successfully collected subscription invoice and stops immediately when the Referred Customer churns, a payment fails, or the eligible Paid Months are exhausted — whichever occurs first.
  • No commission accrues on Excluded Amounts. For clarity: AI-credit top-ups are sold at cost and never carry commission; the free Starter tier pays nothing until the customer upgrades to a paid plan and pays.
  • Enterprise (Custom) referrals are compensated only under a case-by-case written agreement.
  • Performance uplift: we may, at our discretion and subject to margin review, increase your rate (for example to 25% while you have five or more active paying Referred Customers). Any uplift applies prospectively and is recorded in your Commission Terms.

6. Statements, Payment and Currency

  • Commission is calculated monthly in arrears on collected cash. Newly accrued commission is held as pending through a refund/chargeback review period of up to 60 days before it becomes payable.
  • We pay approved balances monthly, subject to a minimum payout threshold of US$50 (or equivalent); smaller balances roll forward.
  • Commission accrues in the currency of the underlying customer invoice. We may pay in that currency or in USD/SGD at a reasonable market rate on the payment date.
  • You are responsible for your own taxes on commission, and you will provide the payout, invoicing and tax information we reasonably request before payment. We may withhold where required by law.
  • Each payment is accompanied by a statement showing, per Referred Customer: plan, payment period, Net Revenue, rate, commission and status.

7. Clawback and Offsets

  • If a payment underlying a commission is refunded, charged back or found fraudulent within 60 days of collection, the related commission is voided.
  • Commission already paid on a voided amount may be offset against your future commission or, at our request, repaid.
  • Commission attributable to self-referral, fraud, or breach of clause 8 is void from the outset.

8. Partner Conduct

You must not:

  • refer yourself, your own company, or accounts you control (self-referral);
  • make misleading, unsubstantiated or unauthorised claims about QueryOn, its pricing, or its results;
  • publish or distribute discount or promotion codes other than as we authorise;
  • bid on "QueryOn", "Kavio" or confusingly similar terms in paid search, or use them in advertising display URLs, without our prior written approval;
  • send spam, use cookie-stuffing, forced clicks, iframes, typosquatting or similar artificial attribution techniques;
  • promote QueryOn on or alongside unlawful, deceptive or brand-damaging content.

You must clearly disclose your material connection to QueryOn where required by applicable advertising rules (for example, "I earn a commission if you subscribe through my link").

9. Brand Use

We grant you a limited, non-exclusive, revocable licence to use the QueryOn name and the marketing assets we provide, solely to promote QueryOn under these Terms. You gain no ownership or other rights, you may not alter the marks, and the licence ends when your participation ends.

10. Relationship of the Parties

You are an independent contractor. Nothing in these Terms creates an employment, agency, partnership or joint-venture relationship, and you have no authority to bind Kavio or to give warranties on our behalf. The Programme is non-exclusive for both parties.

11. Confidentiality and Data Protection

  • Non-public information you receive about the Programme, our pricing, customers or commission statements is confidential and may be used only to participate in the Programme.
  • Each party will comply with applicable data-protection law, including Singapore's Personal Data Protection Act 2012, in respect of any personal data handled in connection with the Programme. You will not sell personal data obtained through the Programme.

12. Changes to the Programme

We may amend these Terms, the customer offer, or default commission terms for future periods by giving you at least 14 days' notice by email. Changes do not reduce commission already validly accrued. Your continued participation after the effective date is acceptance of the change.

13. Term, Suspension and Termination

  • Either party may end participation at any time on written notice (email suffices).
  • We may suspend or terminate immediately for breach of these Terms, fraud, or conduct that risks harm to QueryOn or its customers.
  • On termination without breach: commission validly accrued and surviving the clause 7 review is paid in the normal cycle; no new attribution or accrual occurs after the end date.
  • On termination for breach or fraud: unpaid commission connected to the breach is forfeited.

14. Disclaimers and Liability

  • The Programme is provided "as is". We do not guarantee any level of referrals, conversions or earnings.
  • To the maximum extent permitted by law, neither party is liable for indirect or consequential loss, and our total liability under these Terms is capped at the commission paid or payable to you in the six (6) months before the claim arose.
  • Nothing limits liability for fraud or for anything that cannot be limited by law.

15. General

  • These Terms are the entire agreement about the Programme and supersede prior discussions.
  • You may not assign your rights without our written consent; we may assign to an affiliate or in a corporate reorganisation.
  • If a clause is unenforceable, the rest remains in force. A failure to enforce is not a waiver.

16. Governing Law

These Terms are governed by the laws of Singapore, and the courts of Singapore have exclusive jurisdiction, save that we may seek injunctive relief in any court of competent jurisdiction to protect our intellectual property.
